Terms of Service

These Terms of Service ("Terms") govern your use of FluxxChat (the "Service"), provided by Fluxx Tech ("we", "us"). By creating an account or using the Service you agree to these Terms.

1. What the Service is

FluxxChat is a software platform that helps businesses use the WhatsApp Business Platform (Cloud API) to send campaigns, reply to customers, build chatbots and manage contacts. WhatsApp and Meta are separate companies. We are not owned by, or affiliated with, Meta or WhatsApp.

2. Your account

• You must be a business or an adult able to enter a contract, and give accurate information.
• You are responsible for your login details and everything done under your account, including by your team members.
• We may approve, reject, suspend or close accounts that break these Terms or the law.

3. WhatsApp and Meta rules

You must follow the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy and the WhatsApp Commerce Policy, as updated by Meta. In particular you agree to:

• Message only people who have agreed (opted in) to receive messages from your business, and keep proof of that consent.
• Stop messaging anyone who opts out, and honour STOP requests.
• Not send spam, illegal, misleading, abusive or adult content, or messages that break Meta policies.
• Use message templates truthfully and in the right category. Meta decides template approval and may limit, pause or ban a number.

Meta may change message limits, quality ratings and pricing at any time. We are not responsible for decisions or outages on Meta's side.

4. Plans, wallet and charges

• Plan fees are charged in advance for the plan period. Prices exclude GST unless stated.
• WhatsApp message charges are paid from your prepaid wallet. Each message is charged at the rate shown in your dashboard when it is sent. If a message fails, the charge is credited back to your wallet.
• If your wallet runs out, sending stops until you recharge.

5. Your data

You own your contacts, messages and content. You confirm that you have the right to upload and message your contacts. We process this data only to provide the Service, as described in our Privacy Policy.

6. Acceptable use

You must not misuse the Service, try to break or overload it, reverse engineer it, resell it without our written permission, or use it for anything unlawful.

7. Availability

We work to keep the Service available, but we do not promise it will be uninterrupted or error free. We may update or change features.

8. Limit of liability

To the extent allowed by law, the Service is provided "as is". We are not liable for indirect or consequential loss, loss of profit or business, or for Meta/WhatsApp actions. Our total liability for any claim is limited to the fees you paid us in the 3 months before the claim.

9. Termination

You may stop using the Service at any time. We may suspend or end your access if you break these Terms. Sections that should survive termination (such as liability and data clauses) will continue to apply.

10. Changes

We may update these Terms. If the changes are important we will tell you by email or in the dashboard. Using the Service after that means you accept the new Terms.

11. Governing law

These Terms are governed by the laws of India. Courts in Tamil Nadu have jurisdiction over any dispute.
